Spark SIP Terms of Use

Welcome to Spark SIP, the Summer Internship Program Matching Services. Spark SIP Services and/or its affiliates ("Spark SIP") provide website features and other products and services to you when you visit or interact at Spark SIP, or use software provided by Spark SIP in connection with any of the foregoing (collectively, "Spark SIP Services"). Spark SIP provides the Spark SIP Services subject to the following conditions.

By using Spark SIP Services, you agree to these conditions.

Please read them carefully.

We offer a very limited range of Spark SIP Services, and sometimes additional terms may apply. When you use a Spark SIP internship Service you also will be subject to the guidelines, terms and agreements applicable to that Spark SIP Service ("Service Terms"). If these Conditions of Use are inconsistent with the Service Terms, those Service Terms will control.

PRIVACY

Please review our Privacy Notice, which also governs your use of Spark SIP Services, to understand our practices.

ELECTRONIC COMMUNICATIONS

When you use Spark SIP Services, or send emails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as emails, texts, mobile push notices, or notices and messages on this site or through the other Spark SIP Services, such as our Message Center, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

The Content You Submit Belongs to You

SPARK SIP does not claim ownership of any Content that you post on or through the Service. By making Your Content available on or through the Service, you grant to SPARK SIP a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, publicly display, publicly perform and distribute Your Content only in connection with operating and providing the SPARK SIP Service.

Anything you post, upload, share, store, or otherwise provide through the Service, you retain copyright and any other proprietary rights you hold in the content that you post to the Service. For all User Submissions, you hereby grant SPARK SIP a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free right and license, in perpetuity without any time limit, to host, transfer, display, perform, reproduce, modify, distribute and re-distribute, publish and process, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others. This is a license only. You still own your content and information.

TRADEMARKS

Graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Spark SIP Service are trademarks or trade dress of Spark SIP in the U.S. and other countries. Spark SIP's trademarks and trade dress may not be used in connection with any product or service that is not Spark SIP's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Spark SIP. All other trademarks not owned by Spark SIP that appear in any Spark SIP Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Spark SIP.

PATENTS

None

LICENSE AND ACCESS

Subject to your compliance with these Conditions of Use and any Service Terms, and your payment of any applicable fees, Spark SIP or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Spark SIP Services. This license does not include any resale or commercial use of any Spark SIP Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Spark SIP Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Conditions of Use or any Service Terms are reserved and retained by Spark SIP or its licensors, suppliers, publishers, rightsholders, or other content providers. No Spark SIP Service, nor any part of any Spark SIP Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Spark SIP. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Spark SIP without express written consent. You may not use any meta tags or any other "hidden text" utilizing Spark SIP's name or trademarks without the express written consent of Spark SIP. You may not misuse the Spark SIP Services. You may use the Spark SIP Services only as permitted by law. The licenses granted by Spark SIP terminate if you do not comply with these Conditions of Use or any Service Terms.

YOUR ACCOUNT

You may need your own Spark SIP account to use certain Spark SIP Services, and you may be required to be logged in to the account and have a valid payment made to use the services associated with it. If there is a problem charging your selected payment method, we may charge any other valid payment method associated with your account. SparkSIP uses Stripe for processing payments. See Stripe Terms of Use here on how Stripe manages your payment options. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. Spark SIP does provide products for children, but it sells them only to adults, who can purchase with a credit card or other permitted payment method. If you are under 18, you may use the Spark SIP Services only with involvement of a parent or guardian. Parents and guardians may create profiles for teenagers in their Household. Spark SIP reserves the right to refuse service, terminate accounts, terminate your rights to use Spark SIP Services, remove or edit content, or cancel orders in its sole discretion.

GENERAL GUIDELINES FOR STUDENTS AND INTERNSHIP PROVIDERS

You are responsible for Your Content. You represent and warrant that you own Your Content or that you have all rights necessary to grant us a license to use Your Content as described in these Terms. You also represent and warrant that Your Content and the use and provision of Your Content on the SPARK SIP Service will not: (a) infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (b) violate, or encourage any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (c) be fraudulent, false, misleading or deceptive; (d) be defamatory, obscene, pornographic, vulgar or offensive; (e) promote discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (f) be violent or threatening or promote violence or actions that are threatening to any person or entity; or (g) promote illegal or harmful activities or substances.

The following is a list of examples of items that are prohibited. It is not exhaustive in nature.

Content that is illegal or unlawful, that would otherwise create liability;
Content that is libelous, defamatory, bigoted, fraudulent or deceptive;
Mass or repeated promotions, political campaigning or commercial messages directed at users who do not follow you (SPAM);
Private information of any third party (including but not limited to addresses, phone numbers, email addresses, Social Security numbers and credit card numbers); and
Viruses, corrupted data or other harmful, disruptive or destructive files, commands or code.
Impersonate or post on behalf of any person or entity or otherwise misrepresent your affiliation with a person or entity;
Use or attempt to use another's account;
Collect any personal information about other users, or intimidate, threaten, stalk or otherwise harass other users of the SPARK SIP
Circumvent or attempt to circumvent any filtering, security measures, rate limits or other features designed to protect SARK SIP, users of the service, or third parties.
Misrepresent your or your child’s qualifications in any activity;
Misrepresent your or your child’s affiliations with a person or entity, past or present;
Act in an unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable manner;

Also, you agree that you will

Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
Provide accurate information to us and keep it updated;
Use SPARK SIP in a professional and/or responsible manner.

Violation of any of these terms will result in automatic rejection of your application and forfeiture of all fees provided.

INTELLECTUAL PROPERTY COMPLAINTS

Spark SIP respects the intellectual property of others. If you believe that your intellectual property rights are being infringed, please follow our Notice and Procedure for Making Claims of Copyright Infringement.

RETURNS, REFUNDS AND TITLE

There will be no refunds of fees paid to Spark SIP

INTERNSHIP DESCRIPTIONS

Spark SIP attempts to be as accurate as possible. However, Spark SIP does not warrant that internship descriptions or intern information is accurate, complete, reliable, current, or error-free. If any of the information provided by Spark SIP itself is not as described, your sole remedy is to let us know about it and Spark SIP will attempt to provide an alternative option for consideration.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

The SPARK SIP services and all information, content, materials, products (including software) and other services included on or otherwise made available to you through the SPARK SIP services are provided by SPARK SIP on an "as is" and "as available" basis, unless otherwise specified in writing. SPARK SIP makes no representations or warranties of any kind, express or implied, as to the operation of the SPARK SIP services, or the information, content, materials, products (including software) or other services included on or otherwise made available to you through the SPARK SIP services, unless otherwise specified in writing. You expressly agree that your use of the SPARK SIP services is at your sole risk.

To the full extent permissible by law, SPARK SIP disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. SPARK SIP does not warrant that the SPARK SIP services, information, content, materials, products (including software) or other services included on or otherwise made available to you through the SPARK SIP services, SPARK SIP's servers or electronic communications sent from SPARK SIP are free of viruses or other harmful components. To the full extent permissible by law, SPARK SIP will not be liable for any damages of any kind arising from the use of any SPARK SIP service, or from any information, content, materials, products (including software) or other services included on or otherwise made available to you through any SPARK SIP service, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.

DISPUTES

Any dispute or claim relating in any way to your use of any Spark SIP Service, or to any products or services sold or distributed by Spark SIP or through Spark SIP will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Conditions of Use as a court would.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

APPLICABLE LAW

By using any Spark SIP Service, you agree that the Federal Arbitration Act, applicable federal law, and the laws of the state of Washington, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and Spark SIP.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Please review our other policies, such as our pricing policy, posted on this site. These policies also govern your use of Spark SIP Services. We reserve the right to make changes to our site, policies, Service Terms, and these Conditions of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
